Program Terms and Conditions

These Terms and Conditions apply to the NASCAR.COM TrackPass Refer-a-Friend Program (the "Program"). By participating in the Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. NASCAR.com reserves the right to add to and/or change these Terms & Conditions at any time. Therefore, please continue to review these Terms and Conditions while participating in the Program. By continuing to participate in the Program after these Terms and Conditions have been modified, you are agreeing to such modifications.

The Program is void where prohibited by law. The Program is subject to all applicable federal, state and local laws and regulations.

1. Program Sponsor. The Program is sponsored by NASCAR.com. Turner Sports Interactive, Inc. ("TSI") operates the NASCAR.com web site pursuant to agreements with the National Association for Stock Car Auto Racing, Inc. ("NASCAR") and NASCAR Digital Entertainment, Ltd.("NDE") (TSI, NASCAR and NDE are referred to herein as "NASCAR.com"). TSI's offices are located at 1015 Techwood Drive, 8th Floor, Atlanta, GA 30319 USA.

2. Program Time Period. Program begins May 17, 2007 and ends December 31, 2007 ("Program Period").

3. Program Eligibility. The Program is available to subscribers of any of NASCAR.com's TrackPass services (Scanner, PitCommand, and Race View, each of which is hereafter known as the "Service") who (A) have purchased a subscription plan, and (B) have an account that is in good standing as determined by NASCAR.com (account must not be suspended, deactivated, disabled, or past due during the Program Period) (each, a "Referring Subscriber").

4. Program Enrollment. A Referring Subscriber may participate in the Program by visiting the Program website (the "Site") and following the directions provided to refer a friend (each, a "Referred Subscriber") to the Service. A Referred Subscriber may participate by subscribing to the Service through the Site via the Program email received from the Referring Subscriber("Offer/Referral"). Only referrals to the Program through the Site will be eligible for and result in credits related to a current subscription plan in the Program. A Referred Subscriber must initiate his/her subscription via the Program email received from the Referring Subscriber in order for such Referring Subscriber to be eligible for credit in connection with that subscription. In the event more than one Referring Subscriber provides the same Referred Subscriber, only the Referring Subscriber whose email is used by the Referred Subscriber to subscribe to the Service will be eligible for the credit described below. No more than one individual may receive a credit with respect to the subscription of any Referred Subscriber. Decisions of NASCAR.com as to who is credited as the Referring Subscriber shall be final.

A Referred Subscriber must be an individual who is not currently utilizing a free trial of the Service, and is not currently a subscriber to the Service. In addition, a Referred Subscriber (A) must have reached the legal age of majority in the jurisdiction in which he/she resides and (B) is invited to participate in the Program by a Referring Subscriber.

REFERRED SUBSCRIBERS UNDERSTAND THAT WHEN THEY SUBSCRIBE TO THE SERVICE THROUGH THE PROGRAM THE REFERRING SUBSCRIBER WILL RECEIVE ONE (1) FREE MONTH OF THE SERVICE . THE REFERRING SUBSCRIBER WILL BE INFORMED OF THE REFERRED SUBSCRIBER'S SUBSCRIPTION STATUS, INCLUDING WITHOUT LIMITATION: SUCCESSFUL SUBSCRIPTION TO SERVICE, CANCELLATION OF SERVICE (DURING THE 30-DAY TRIAL PERIOD) AS WELL AS OTHER INFORMATION RELATED TO THE ADMINISTRATION OF THE PROGRAM. BY ACTIVATING SERVICE THROUGH THE PROGRAM, THE REFERRED SUBSCRIBER UNDERSTANDS THAT NASCAR.COM MAY SHARE SUCH INFORMATION WITH THE REFERRING SUBSCRIBER AND AGREES TO THE SHARING OF SUCH INFORMATION IN SUCH MANNER.

5. Program Credit Accrual. A Referring Subscriber will earn one (1) credit for every referral resulting in the purchase of a new Monthly, Six (6) Month, or Annual subscription plan to the Service by the Referred Subscriber with a separate and unique referred subscription during the Program Period that is in accordance with these Terms and Conditions (a "Successful Referral"). In order for the Referring Subscriber to receive the credit, the Referred Subscriber must (A) not currently be a subscriber to the Service, including, without limitation, any free trial offer, (B) activate the Service by accepting the Offer/Referral (as defined above) within thirty (30) days of receipt of the Program email by following the directions in the Program email, (C) purchase a new Monthly, Six (6) Month or Annual subscription plan, and (D) remain an active, paying subscriber for at least thirty (30) days.

ONLY ONE (1) CREDIT PER REFERRING SUBSCRIBER PER MONTH WILL BE PERMITTED AND APPLIED, REGARDLESS OF THE NUMBER OF REFERRALS. ADDITIONAL APPROVED CREDITS WITHIN THE SAME MONTH WILL BE APPLIED TO THE NEXT SUBSEQUENT MONTH FOR WHICH THERE IS NOT OTHERWISE A CREDIT. THE TOTAL NUMBER OF CREDITS PER REFERRING SUBSCRIBER SHALL BE LIMITED TO A MAXIMUM OF 12 CREDITS IN A CALENDAR YEAR FOR THE DURATION OF THE PROGRAM, REGARDLESS OF THE NUMBER OF SUCCESSFUL REFERRALS.

A Referred Subscriber who meets all eligibility requirements and has not previously received and accepted an Offer/Referral will receive a one (1) month free trial of the Service for accepting the Referring Subscriber's invitation to participate in the Program. Referred Subscribers do NOT otherwise qualify to receive any credits under this Program. After purchasing a Monthly, Six (6) Month or Annual subscription plan and subject to meeting any other eligibility requirements as stated herein, the Referred Subscriber may qualify to participate in this Program as a Referring Subscriber.

If any Referred Subscriber (A) has not activated the Service by accepting the Offer/Referral via the Program email within thirty (30) days from the date the invitation was sent, (B) opts out of future Program emails, (C) does not agree to these Terms and Conditions or to participate in the Program, (D) does not purchase a new Monthly, Six (6) Month or Annual subscription plan, or (E) does not remain a paying subscriber for at least thirty (30) days, such Referring Subscriber shall not receive a credit in connection with the referral of such Referred Subscriber. In addition, a Referring Subscriber shall not receive any credits if his or her referrals through the Program are rejected or not received for any reason or if he or she fails to comply with any of the obligations of the Program or these Terms and Conditions. Credits may take up to sixty (60) days to appear on the Referring Subscriber's account.

NASCAR.com's tracking of referrals and subscriptions shall determine the accrual and issuance of credits. In the event of any disputes as to credits earned or the redemption of credits, NASCAR.com's decision is final.

6. Credit Redemption. Credits accrued by the Referring Subscriber will be redeemed for a free one (1) month subscription to the Service, subject to these terms and conditions. Redemption of credits will be made automatically by NASCAR.com. Referring Subscribers who have a Monthly subscription plan will receive a free month after the current monthly billing cycle is completed for each credit earned. Referring Subscribers who have a Six (6) Month subscription plan will receive a free month at the end of their six (6) month billing cycle for each credit earned. Referring Subscribers who have an Annual subscription plan will receive a free month at the end of their annual billing cycle for each credit earned. Referring Subscribers who change subscription plans during the Program Period will be subject to the redemption rules of the new plan, which may impact whether credit may be retained. Referring Subscribers may monitor their earned credits through the Member Services page. Referring Subscribers whose accounts are not in good standing will not be eligible for a credit.

7. Credits and Rewards Conditions. Certain additional restrictions may apply to credits and free months. Free trials are subject to terms and conditions (free trials and free months are collectively referred to herein as, "Rewards"). Credits and Rewards may be revoked, reversed, adjusted, or otherwise modified, at NASCAR.com's sole discretion, subject to these Terms and Conditions. Credits and Rewards have no cash value and may not be combined with other offers. NASCAR.com may change the number of credits required to redeem a free month or impose caps on earning or redeeming credits, or otherwise change the terms of this Program and/or cancel or modify the Program at any time without further notice.

Referring Subscriber is responsible for the reporting and payment of all federal, state, or local taxes if any.

Credits and Rewards accrued in any Program participant's account do not constitute the Program participant's property and are not refundable, exchangeable, replaceable, redeemable for cash or transferable under any circumstances. By receipt of any credit or Reward, Program participants accept such credit or Reward with no further obligation from NASCAR.com. Upon cancellation of the Service or closure of the Referring Subscriber's account for any reason, any unused credits or Rewards will automatically expire and will have no further value.

NASCAR.com reserves the right to substitute a credit or Reward for an item or service of equal or greater value, at its sole discretion. All details of the credit and Rewards are at NASCAR.com's sole discretion.

8. General Conditions. By participating in the Program, participants agree to abide by and be bound by these Terms and Conditions and the decisions of NASCAR.com, which are final and binding in all respects, including tabulation of credits. Credits and Rewards will be issued only if participants fully comply with these Terms and Conditions.

By participating in the Program, Program participants release and agree to hold harmless NASCAR.com, participating merchants, and their respective parents, affiliates, subsidiaries, vendors and advertising and promotion agencies, and all of their respective directors, officers, employees, representatives and agents (collectively, "Released Parties"), from and against any and all liability for any loss, damage or expense, including, but not limited to, property damage or damage to persons, including, without limitation, death and injury, due in whole or in part, directly or indirectly, from or arising out of participation in the Program, use of the service or the receipt, acceptance, possession or use/misuse of any credit or Reward. This includes any action whether arising in contract, tort, and regulatory enforcement or otherwise.

Released Parties are also not responsible for late, lost, damaged, incomplete, misdirected, illegible, garbled referrals, credits, Rewards or emails or other error or problem of any kind whether human, mechanical, typographical, printing, network or electronic, including, without limitation, errors or problems which may occur in connection with the administration of the Program, the processing of referrals, the tabulating, awarding or processing of credits or Rewards, the overallocation of credits or Rewards, or the announcement of credits and Rewards. Persons found tampering with or abusing any aspect of this Program as solely determined by NASCAR.com will be disqualified and their credits forfeited. NASCAR.com reserves the right to terminate a Program participant's eligibility to participate in the Program at any time, in its sole discretion.

By participating in the Program, all Program participants authorize NASCAR.com to use their name, address (city, state), and/or their photograph, any taped appearance or interview with them or any likeness of them, their voice and/or any statements made by or attributed to them regarding NASCAR.com, in perpetuity, in connection with the publicity, advertising or promotional activities for the Program or any other like or similar future program in any and all media now known or hereafter developed, and any and all rights to said use, without further notification or further compensation.

Fraud or abuse relating to the accrual or redemption of credits or Rewards, as determined by NASCAR.com in its sole discretion, may result in forfeiture of accrued credits or Rewards as well as cancellation of the applicable Program participant's account. All questions or disputes regarding eligibility for the Program, eligibility of credits for accrual, conversion or redemption of credits and Rewards will be resolved by NASCAR.com at its sole discretion.

NASCAR.com reserves the right, at its sole discretion, to cancel, suspend or modify the Program if fraud, technical failures such as an inability to offer the Program via Internet or any other factor impairs the integrity of the Program such that the Program cannot be conducted as originally planned, as determined by NASCAR.com in its sole discretion. In such event, NASCAR.COM may, in its discretion, award credits and Rewards in a manner which NASCAR.com, in its sole discretion, determines is fair, equitable and in accordance with these Terms & Conditions.

In addition, NASCAR.com reserves the right to modify, suspend or terminate the Program in its entirety or in part at any time and for any reason in its sole discretion, notice of which may be provided through revisions posted on the Site. In the event of a modification, suspension or termination of the Program, NASCAR.com reserves the right, in its sole discretion, to determine whether to honor credits previously earned under the Program.

NASCAR.com also reserves the right to void any Referral Rewards or credits issued by NASCAR.com in the event of payment rejections or failures, or ineligibility of a Program participant, or in the event NASCAR.com decides in its sole discretion that a Program participant has violated any of these Terms and Conditions or the NASCAR.com TrackPass Subscription Agreement (and any policies incorporated therein).

9. Choice of Law; Jurisdiction and Venue. These Terms and Conditions and all matters related to this Program shall be governed by the laws of the United States of America and the State of Georgia, without regard to any conflict of law principles. Referring Subscribers consent to the exclusive jurisdiction of the state and federal courts sitting in the State of Georgia to enforce the provisions of this Agreement and to resolve any disputes and claims cognizable in court relating in any way, or arising out of, this Agreement or the Program.

Except where prohibited by law, under no circumstances will Program participants be permitted to obtain awards for, and Program participants hereby waive all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than Program participants' actual out-of-pocket expenses (i.e., costs associated with failure of a redeemed credit), and Program participants further waive all rights to have damages multiplied or increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.
